By accessing or using the website, services, forms, chat widget, SMS/text messaging features, or any other offering provided by B.A.B. Strategic Solutions ("we," "us," "our," or "the Company"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, clients, prospective clients, partners, suppliers, and any other person who interacts with us through our website or communication channels.

B.A.B. Strategic Solutions provides business growth and automation consulting, procurement and commercial sourcing, vendor and subcontractor coordination, project facilitation, and related solutions. Specific services may include CRM setup, lead capture, email and text automation, reputation management, website and landing page development, appointment scheduling, workflow automation, and commercial product and equipment sourcing.

We act as a sourcing, coordination, and consulting partner. We are not a manufacturer, distributor, or licensed contractor unless expressly stated in a separate written agreement. Product availability, pricing, specifications, and delivery timelines are subject to the terms of the underlying manufacturer, distributor, vendor, or service provider.

By submitting a request, quote inquiry, or contact form, you represent that you are at least eighteen (18) years of age, that you are authorized to act on behalf of any organization you identify, and that the information you provide is accurate and complete to the best of your knowledge.

Application-to-Person (A2P) 10DLC disclosure. By providing your mobile telephone number and checking any consent box, submitting a form, or otherwise providing your number to us, you expressly consent to receive recurring automated and non-automated SMS/text messages from B.A.B. Strategic Solutions and our authorized service providers at the number you provided. Messages may include, but are not limited to, appointment reminders, scheduling confirmations, follow-up communications, quote and project updates, and other informational or promotional messages related to your inquiry or our services.

Message frequency. Message frequency varies based on your interaction with us and the status of your request or project. You will typically receive no more than a reasonable number of messages necessary to respond to your inquiry and coordinate your project.

Standard rates apply. You understand and agree that standard message and data rates charged by your mobile carrier may apply to messages you send or receive from us. You are responsible for any such charges.

Opt-out. You may opt out of receiving SMS/text messages at any time by replying STOP to any message we send. Upon opting out, you will receive a one-time confirmation message confirming your opt-out. No further promotional messages will be sent to your number after opt-out, although we may send a limited number of transactional or service-related messages where permitted by law.

Help. For assistance at any time, reply HELP to any message or contact us using the information in Section 12.

Carrier terms. By consenting, you acknowledge that you are the subscriber or authorized user of the mobile number provided, that you are at least 18 years of age, and that you have the authority to provide consent on behalf of the number's user. You agree to notify us if your mobile number changes or is deactivated.

Compliance. Our SMS program is operated in accordance with the Telephone Consumer Protection Act (TCPA), the Cellular Telecommunications Industry Association (CTIA) Messaging Principles and Best Practices, and applicable A2P 10DLC campaign registration requirements.

By providing your email address, you consent to receive email communications from us, including follow-up messages, project updates, and other information related to your inquiry. You may unsubscribe from promotional emails at any time using the unsubscribe link included in each message or by contacting us as set out in Section 12. Transactional messages related to an active request or engagement may continue until the matter is resolved.

Any quote, estimate, or proposal provided by B.A.B. Strategic Solutions is preliminary and non-binding unless confirmed in a signed written agreement. Pricing, availability, specifications, lead times, and terms are subject to change based on manufacturer, distributor, or vendor conditions and may be withdrawn or revised at any time prior to acceptance.

Quotes do not constitute an offer to sell and may be affected by factors outside our control, including supply chain conditions, freight, tariffs, and currency fluctuations.

You agree not to:

• Use our site or services for any unlawful purpose or in violation of these Terms;
• Submit false, misleading, or fraudulent information through our forms or chat widget;
• Attempt to access, disrupt, or compromise our systems, forms, or data through automated or other means;
• Provide a mobile number or contact detail that you are not authorized to use; or
• Reproduce, distribute, or exploit any content from our site without our prior written permission, except as permitted by applicable law.

All content on this site, including text, graphics, logos, branding, and design, is the property of B.A.B. Strategic Solutions or its licensors and is protected by applicable intellectual property laws. You may not use, copy, or distribute our content without our prior written consent, except as necessary to interact with our services.

Our site and services may reference or integrate third-party products, vendors, manufacturers, carriers, and software providers. We are not responsible for the practices, availability, performance, or content of third parties. Your interactions with third-party vendors or carriers are governed by their respective terms and policies, and any disputes arising from those relationships are between you and the third party.

Our services and site are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that any quote, product, vendor, or solution will be available, accurate, timely, or suitable for your needs.

To the fullest extent permitted by law, B.A.B. Strategic Solutions and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of our site or services, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless B.A.B. Strategic Solutions and its affiliates from any claim, liability, damage, or expense (including reasonable legal fees) arising out of your misuse of our site or services, your violation of these Terms, or your infringement of any third-party rights, including the unauthorized provision of a mobile number for SMS messaging.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in California, except where prohibited by applicable law.
